Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the NexV dental practice management platform ("Service") operated by NexV Inc. ("NexV," "we," "our," or "us"), a subsidiary of iSimplifyMe.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to all users, including practice administrators, staff members, and any person accessing the platform on behalf of a dental practice.

2. Service Description

NexV is a cloud-based dental practice management system that includes:

  • Appointment scheduling with AI-optimized multi-operatory views
  • Patient records, clinical charting, and periodontal tracking
  • Dental imaging with AI-assisted X-ray analysis
  • Clinical scribe for automated SOAP note generation
  • Smile design and treatment visualization
  • Billing, insurance claims, and payment processing
  • AI phone agent for inbound and outbound patient calls
  • SMS and email patient communications
  • Practice analytics, forecasting, and health scoring

The Service is available via the web application at app.nexv.ai and companion mobile applications.

3. Accounts and Access

Each user must have their own individual account. Sharing login credentials between individuals is prohibited.

Each practice must designate at least one administrator who is responsible for managing user access, permissions, and practice configuration. The practice administrator controls which staff members have access and at what permission level.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Passwords must meet minimum complexity requirements as specified during account creation.

You must notify us immediately at ai@isimplifyme.com if you suspect unauthorized access to your account.

NexV will notify practice administrators of any confirmed security incident affecting their practice's data within the timeframes specified in our Privacy Policy (60 days for US practices per HIPAA; 72 hours for Australian practices per the Notifiable Data Breaches scheme).

4. Subscription and Billing

NexV is offered on a month-to-month subscription basis, billed through Stripe. The following plans are available:

  • V-Pulse — $199/month. Core practice management with AI features.
  • V-Sonic — $399/month. Advanced AI suite including phone agent, clinical scribe, and imaging analysis.

Add-on features and additional provider seats may be available at additional cost. Current pricing is listed on our pricing page.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

We reserve the right to change pricing with at least 30 days' written notice to practice administrators. If payment fails, we will attempt to collect for up to 14 days before suspending access to the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes directly related to dental practice management. You may not:

  • Use the Service for any purpose other than dental practice operations
  • Share your login credentials with another person
  • Attempt to gain unauthorized access to other accounts, systems, or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload malicious code, viruses, or anything designed to interfere with the Service
  • Resell, sublicense, or redistribute access to the Service without written authorization
  • Use the Service in any way that violates applicable healthcare regulations
  • Scrape, crawl, or harvest data from the Service by automated means

Violation of these terms may result in immediate suspension or termination of your account.

6. Data Ownership

You own your data. NexV does not claim ownership of any patient records, practice data, clinical information, or other content you enter into the platform.

We process your data on your behalf solely to provide the Service. We do not sell, share, rent, or trade your data to any third party for any purpose.

We do not use your data for AI training. Your patient data, clinical records, and practice information are never used to train, fine-tune, or improve any AI model.

You may export all your data at any time via CSV export through the platform, or by requesting an export from ai@isimplifyme.com. Upon termination, you can export all data for 90 days (see Section 12).

7. AI Disclaimer

NexV provides AI-powered features including X-ray analysis, clinical scribe (SOAP note generation), smile design, and an AI phone agent. These features are decision-support tools only and are not diagnostic devices.

A licensed clinician must review all AI outputs before use in patient care. AI-generated findings, recommendations, clinical notes, and treatment visualizations are assistive in nature and may contain errors.

NexV does not practice dentistry. NexV is not a licensed healthcare provider and does not provide medical or dental advice. The practice and its licensed clinicians bear sole responsibility for clinical decisions.

NexV is not liable for clinical outcomes resulting from reliance on AI-generated outputs.

8. Availability and SLA

We target the following uptime commitments:

  • V-Pulse and V-Sonic: 99.9% monthly uptime target. No SLA credits.
  • Enterprise: 99.99% monthly uptime with SLA credits. Contact us for details.

Scheduled maintenance will be communicated to practice administrators at least 48 hours in advance. We will schedule maintenance during off-peak hours whenever possible.

We are not liable for downtime caused by factors outside our reasonable control, including internet service provider outages, AWS infrastructure disruptions, natural disasters, or other force majeure events.

9. Intellectual Property

NexV owns the software. The Service, including its software, design, documentation, AI models, and branding, is the intellectual property of NexV Inc. and is protected by copyright, trademark, and other applicable laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

You own all patient data and clinical content generated through the platform. This includes clinical notes, treatment plans, images, and any other content created by practice staff using the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NexV's total aggregate liability for any claim arising from or related to the Service shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

NexV is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

NexV is not liable for clinical outcomes, treatment results, or patient harm arising from use of AI-assisted features, which are advisory tools that require clinician review (see Section 7).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or personal injury caused by negligence.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Termination

Either party may terminate the subscription with 30 days' written notice to the other party.

NexV may suspend or terminate access immediately if you materially violate these Terms, including failure to pay, unauthorized access attempts, or use of the Service for non-dental purposes.

Upon termination, you will have 90 days to export your data. During this period, you may request a full export of all practice and patient data in CSV, JSON, or PDF format. Dental images will be exported in their original format.

After 90 days from termination, all data will be permanently and irrecoverably deleted unless retention is required by law. Export requests can be submitted to ai@isimplifyme.com.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service or applicable law.

We will notify practice administrators of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with updated Terms, you may terminate your subscription before the changes take effect.
